§ 1 Scope
These General Terms and Conditions apply to all consulting services offered by Heinrich Sergeevic Heimbuch (hereinafter "Consultant") and govern the relationship with business clients (hereinafter "Client"). They apply to all contracts concluded on the basis of inquiries submitted via this website. Deviating terms of the Client do not apply unless expressly agreed in writing.
§ 2 Services
The specific scope of each engagement is agreed individually between the Consultant and the Client, typically by written proposal or statement of work. The services listed on this website are non-binding descriptions. No contract is formed by submitting the contact form. A contract is established only upon written confirmation by the Consultant.
§ 3 Contact Form
The contact form on this website serves exclusively for initial inquiries. Submitting the form does not constitute an order or binding offer. The Consultant will respond within a reasonable time but does not guarantee a response to every inquiry.
§ 4 Fees and Payment
Fees are agreed individually per project or engagement. Unless stated otherwise, all prices are net amounts exclusive of VAT (Umsatzsteuer). Invoices are due within 14 days of the invoice date without deduction.
§ 5 Confidentiality
Both parties agree to treat all non-public information exchanged in connection with a project as confidential and not to disclose it to third parties without prior written consent. This obligation remains in force after the end of the engagement.
§ 6 Intellectual Property
Work results created by the Consultant are transferred to the Client upon full payment. The Consultant retains the right to use general methodologies, frameworks, and know-how that are not specific to the Client.
§ 7 Liability
The Consultant performs services with reasonable care and professional diligence. The Consultant does not guarantee specific outcomes or results. Liability is limited to cases of intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit). Liability for indirect damages, lost profits, or consequential losses is excluded to the extent permitted by law.
§ 8 Governing Law and Jurisdiction
These terms are governed by German law. The exclusive place of jurisdiction for all disputes is Berlin, Germany, provided the Client is a registered business.
§ 9 Severability
Should any provision of these terms be or become invalid, the remaining provisions stay in full force. The invalid provision shall be replaced by a valid provision that comes closest to the intended economic purpose.
